Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Raythinks platform, including the website at raythinks.ai, the application at app.raythinks.ai, and any related services (together, the "Service").

The Service is operated by Raythinks (Pty) Ltd (registration number 2026/379277/07), a private company incorporated in the Republic of South Africa, with its registered office at 112 Camp Ground Road, Rondebosch, Cape Town, 7700 ("Raythinks", "we", "us", "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Eligibility

1.1 Age requirement

You must be 18 years of age or older to use the Service. By creating an account, you confirm that you are at least 18.

We do not knowingly collect personal information from anyone under 18. If we become aware that an account holder is under 18, we will close the account and delete the associated personal information.

1.2 Geographic availability

The Service is currently available only to users physically located in the Republic of South Africa. We use the IP address from which you connect to determine availability. We expand to other jurisdictions in phases.

If you access the Service from outside the available regions, you may be unable to sign up. If you sign up using a virtual private network or other means to bypass the geographic restriction, you do so in breach of these Terms and we may terminate your account.

1.3 Closed beta

The Service is currently in a closed beta phase. Access is by invitation only. We maintain an email allowlist of beta participants; only users on the allowlist can complete signup.


2. What Raythinks Is and Is Not

2.1 What the Service does

Raythinks is a decision-intelligence platform. The Service uses artificial intelligence to help you think through decisions by gathering relevant context, surfacing considerations, and offering structured analysis grounded in established ethical and analytical principles.

The Service is intended to support your thinking, not to make decisions for you.

2.2 What the Service is not

The Service is not professional advice. It is not, and must not be relied on as, a substitute for:

  • Medical, psychiatric, or psychological advice or treatment;
  • Legal advice or representation;
  • Financial, investment, accounting, or tax advice;
  • Religious rulings, fatwas, or spiritual direction from qualified scholars;
  • Emergency services or crisis intervention.

You retain full responsibility for any decision you make or action you take, whether or not informed by the Service. We are not liable for the consequences of your decisions.

2.3 The Service is not human

The Service is generated by AI models and is not a human advisor. The Service may produce inaccurate, incomplete, or inappropriate output. Always exercise your own judgement and consult qualified professionals for important decisions.

You agree to read the full Disclaimer before using the Service. The Disclaimer forms part of these Terms.


3. Your Account

3.1 Account creation

To use the Service you must create an account by providing a valid email address, a display name, your home country, and a password. You must verify your email before your account becomes active.

3.2 Account security

You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately at hello@raythinks.ai if you suspect unauthorised access.

3.3 Accurate information

You agree to provide accurate, current, and complete information when creating your account and to keep it updated.

3.4 One account per person

Each individual may hold one account. Sharing accounts, selling accounts, or creating multiple accounts to circumvent usage limits or the refund policy is prohibited.


4. Subscription and Payment

4.1 Plans and pricing

We offer the following plans:

  • Free trial. Three (3) complete decision analyses, one-time, lifetime per account.
  • Monthly subscription. USD $19 per month. Includes thirty (30) decision analyses per billing period. Additional analyses are charged at USD $1 each.
  • Pay-as-you-go (PAYG). USD $4.99 per single decision analysis, no subscription required.

Prices are quoted in United States dollars. Customers in other currencies may see local currency equivalents at checkout; settlement is processed in USD.

4.2 Merchant of Record

Payment processing is handled by Lemon Squeezy (a service of Lemon Squeezy LLC) acting as our Merchant of Record. Lemon Squeezy is the legal seller of the Service in respect of your payment transaction. Your card statement will show "Lemon Squeezy" or "LEMSQZY* STORE" rather than "Raythinks".

Lemon Squeezy collects and remits applicable sales tax, VAT, or equivalent transaction taxes in your jurisdiction.

4.3 Auto-renewal

Monthly subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. You may cancel at any time through the customer portal or by contacting hello@raythinks.ai.

4.4 Price changes

We may change prices on notice of at least 30 days. Price changes take effect at the start of your next billing period after the notice. If you do not accept a price change, you may cancel before it takes effect.

4.5 Refund policy

You may request a full refund of your first paid subscription if, at the time of the request, both of the following are true:

  • (a) No more than 30 days have passed since the date of payment; AND
  • (b) You have started no more than 3 decision conversations with the Service during that period.

Refund requests must be sent to hello@raythinks.ai from the email address associated with the account. We will process eligible refunds through Lemon Squeezy within 10 business days. Refunds typically appear on your card statement within a further 5 to 10 business days, depending on your bank.

Refund requests that fall outside the window above are at our sole discretion. We may decline requests that we reasonably believe are abusive (for example, repeat refund requests across multiple accounts).

PAYG purchases are non-refundable once the analysis has been delivered.

4.6 Failed payments

If a payment fails, we will retry the charge over a 7-day period. If all retries fail, we may suspend or terminate your access until payment is resolved.


5. Use of the Service

5.1 Acceptable use

Your use of the Service is governed by the Acceptable Use Policy, which forms part of these Terms. You agree to read and comply with the Acceptable Use Policy.

5.2 Content you provide

You retain ownership of any text, documents, or other content you submit to the Service ("Your Content"). You grant Raythinks a limited, worldwide, non-exclusive, royalty-free licence to process Your Content for the purpose of providing the Service to you.

We do not use Your Content to train AI models. We do not sell Your Content. We do not share Your Content with third parties except as strictly necessary to operate the Service (for example, sending the text of your conversation to the AI provider that generates Ray's response).

5.3 Output of the Service

The text, analysis, and other output generated by the Service in response to Your Content ("Output") is provided to you for your personal use. We make no claim of ownership over the Output you receive. You may use the Output for any lawful purpose.

The Output is generated by AI. Different users asking similar questions may receive similar Output. We make no warranty that Output is unique, original, or non-infringing of third-party rights.

5.4 Crisis detection

The Service contains safety logic that monitors your conversation for indicators of serious distress, including suicidal ideation, self-harm, and risk of harm to others. If the Service detects such indicators, the conversation will halt the advisory flow and present you with emergency resources, including:

  • SAPS (emergency): 10111

Crisis events are logged in our database for safety review. See the Privacy Notice for details on how this data is handled.

The Service is not a substitute for emergency services or professional crisis intervention. If you or someone you know is in immediate danger, call SAPS on 10111 or go to your nearest emergency room.


6. Intellectual Property

6.1 Our intellectual property

The Service, including the software, design, branding, trademarks, prompts, knowledge base, and all other materials we create or provide, is owned by Raythinks (Pty) Ltd or licensed to us. Nothing in these Terms transfers any of our intellectual property to you.

The name "Raythinks", the Raythinks logo, and the tagline "The wisdom in balance" are trademarks of Raythinks (Pty) Ltd. You may not use them without our prior written consent.

6.2 Your intellectual property

These Terms do not transfer ownership of Your Content to us. You keep what you bring.

6.3 Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual, irrevocable licence to use that feedback to improve the Service. We will not identify you as the source of any feedback in any public communication without your consent.


7. Privacy

Your privacy is governed by the Privacy Notice, which forms part of these Terms. The Privacy Notice describes what personal information we collect, why we collect it, how we use it, and your rights under the Protection of Personal Information Act, 4 of 2013 ("POPIA").

You agree to read the Privacy Notice before creating an account.


8. Termination

8.1 Termination by you

You may close your account at any time through the settings page or by emailing hello@raythinks.ai. On account closure, we will delete your personal information in accordance with the Privacy Notice. Closure does not entitle you to a refund except as set out in section 4.5.

8.2 Termination by us

We may suspend or terminate your account, without refund, if we reasonably believe you have:

  • (a) breached these Terms or the Acceptable Use Policy;
  • (b) used the Service for unlawful purposes;
  • (c) attempted to extract, reverse-engineer, or replicate the Service or our prompts;
  • (d) submitted false information at signup;
  • (e) abused the refund policy;
  • (f) used the Service in a way that creates risk to other users or to the Service itself.

Where reasonably possible, we will give you notice before termination and an opportunity to remedy the breach.

8.3 Effect of termination

On termination, your right to use the Service ends immediately. Sections that by their nature survive termination — including intellectual property, indemnity, liability limitations, and dispute resolution — remain in effect.


9. Disclaimers

9.1 Service "as is"

The Service is provided "as is" and "as available". We make no warranties, express or implied, regarding the Service, except as required by South African consumer protection law that cannot be excluded.

We do not warrant that:

  • (a) the Service will be uninterrupted, error-free, or secure;
  • (b) the Output will be accurate, complete, or fit for any particular purpose;
  • (c) the Service will produce specific results.

9.2 No professional advice

We restate, for the avoidance of doubt: the Service is not professional advice. See section 2.2 and the Disclaimer.

9.3 Third-party services

The Service relies on third-party providers, including:

  • Supabase (database and authentication, EU servers)
  • OpenRouter (AI model access)
  • Anthropic (Claude AI models)
  • Lemon Squeezy (payment processing)
  • Resend (email delivery)
  • Vercel (hosting)

We are not liable for the acts, omissions, or failures of these third parties beyond our own responsibility to choose reputable providers.


10. Limitation of Liability

10.1 Cap on damages

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Service in any 12-month period is limited to the greater of:

  • (a) the amount you paid us for the Service in the 12 months preceding the claim; or
  • (b) ZAR 1,000.

10.2 Excluded damages

To the maximum extent permitted by law, we are not liable for:

  • (a) indirect, consequential, incidental, special, or punitive damages;
  • (b) loss of profits, revenue, business opportunity, goodwill, or data;
  • (c) emotional distress or non-financial loss;
  • (d) damages arising from your reliance on Output;
  • (e) damages arising from decisions you made or did not make.

10.3 Consumer protection

Nothing in these Terms limits or excludes any rights you have under the Consumer Protection Act, 68 of 2008 ("CPA") that cannot lawfully be limited or excluded. If you are a "consumer" within the meaning of the CPA, the protections of the CPA apply in addition to these Terms.


11. Indemnity

You agree to indemnify and hold harmless Raythinks (Pty) Ltd, its directors, employees, and contractors from and against any claim, loss, damage, or expense (including reasonable legal fees) arising from:

  • (a) your breach of these Terms or the Acceptable Use Policy;
  • (b) your violation of any law or third-party right;
  • (c) your use of the Service in a manner not permitted by these Terms;
  • (d) any claim that Your Content infringes third-party rights.

12. Dispute Resolution and Governing Law

12.1 Governing law

These Terms are governed by the laws of the Republic of South Africa.

12.2 Jurisdiction

Any dispute arising out of or in connection with these Terms or the Service is subject to the exclusive jurisdiction of the courts of the Western Cape Division of the High Court of South Africa, except where the Consumer Protection Act gives you the right to bring proceedings in a different court.

12.3 Informal resolution first

Before commencing legal proceedings, you agree to contact us at hello@raythinks.ai with a description of the dispute and your desired outcome. We will respond within 14 days and attempt in good faith to resolve the matter informally.

12.4 Class actions

To the maximum extent permitted by law, you agree to bring any claim against us on an individual basis and not as part of a class action.


13. Changes to These Terms

We may update these Terms from time to time. The version date and version number appear at the top of this document. We will notify active account holders of material changes by email or in-app notice at least 30 days before changes take effect.

Continued use of the Service after a change indicates acceptance of the updated Terms. If you do not accept a change, you must stop using the Service and may close your account. Eligibility for refund on terminated subscriptions follows section 4.5.


14. General

14.1 Entire agreement

These Terms (together with the Privacy Notice, Disclaimer, and Acceptable Use Policy) constitute the entire agreement between you and Raythinks (Pty) Ltd in relation to the Service.

14.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

14.3 No waiver

Our failure to enforce any right under these Terms is not a waiver of that right.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to a successor entity in the event of a merger, acquisition, or sale of substantially all of our assets.

14.5 Force majeure

We are not liable for failure to perform under these Terms to the extent caused by events beyond our reasonable control, including acts of nature, war, terrorism, civil unrest, government action, internet or telecommunications failures, or pandemics.

14.6 Notices

Notices to us must be sent to hello@raythinks.ai. Notices to you will be sent to the email address associated with your account.
